Cadenberg advises MPM shareholders on merger with VRM

Cadenberg advised the shareholder of the content marketing and digital agency MPM on tax matters during the merger with the VRM Group. Furthermore, Cadenberg assisted with the valuation required for the merger in the context of the proof of value. VRM, headquartered in Mainz, is one of the largest media companies in Germany with 1750 employees at 36 locations. With around 90 employees, MPM serves international clients such as Henkel, Audi, BASF, Lufthansa, RWE and Zalando and is one of the most successful owner-managed communications agencies in Germany. The structuring continues the successful, long-term partnership between the two companies. VRM has already had its strategic focus on digital business models for several years. “Together, the two companies will consistently develop their business models and range of services,” says Philipp Mann, who will continue to play an active role in the group as managing director and shareholder.
